Intellectual Property Guide for Businesses in Vietnam: Protecting Intangible Assets

Comprehensive guide to IP protection for businesses in Vietnam: trademarks, patents, copyrights, industrial designs, and trade secrets.

Intellectual property is a critical asset often overlooked in early business stages. This guide helps businesses understand and protect their intangible assets.

1. Types of IP Rights in Vietnam

Trademark: protects marks distinguishing goods/services. Term 10 years, unlimited renewals.

Patent: protects new technical solutions with inventive step and industrial applicability. Term 20 years.

Utility solution: similar to patent but lower inventive requirement. Term 10 years.

Industrial design: protects external product appearance. Maximum 15 years.

Copyright: protects literary, artistic, scientific works, software. Life of author + 50 years.

Trade secret: commercially valuable information kept secret. Unlimited term (while still secret).

2. Trademark Registration — Detailed Process

2.1. Before Registration

  1. Search for similar/identical marks at noip.gov.vn
  2. Determine product/service class per Nice Classification (45 classes)
  3. Prepare trademark sample

2.2. Filing

Can file directly at NOIP (Hanoi) or Representative Offices (HCMC, Da Nang), online through NOIP system, or through IP agent.

2.3. Processing

  1. Formal examination (1-2 months)
  2. Application publication (2 months)
  3. Substantive examination (9-12 months)
  4. Certificate issuance (2-3 months)

Total 18-24 months. Protected from filing date.

2.4. Costs

  • State fees: ~VND 1 million/mark/class
  • Agent fees (if hired): VND 3-10 million/mark
  • Renewal fees: ~VND 2 million/time

3. Patent Registration

3.1. Conditions

Patents must have novelty, inventive step, industrial applicability.

3.2. Application Documents

  • Patent application
  • Detailed invention description
  • Claims
  • Invention abstract
  • Drawings (if any)

3.3. Costs and Time

Cost VND 10-50 million (including agent fees). Processing time 3-5 years.

4. International Protection

IP rights are territorial. For international protection:

Trademarks: Madrid System (one filing for many member countries) or direct registration in each country.

Patents: PCT (Patent Cooperation Treaty) — file one international application, then move to national phase.

5. Trade Secret Protection

Unlike other rights, trade secrets need no registration but must have:

  • Security measures: technical (encryption, access controls) and organizational (NDAs, regulations)
  • Commercial value
  • Not general knowledge

Once secret is leaked, cannot be restored.

6. IP Rights Infringement

6.1. Enforcement Measures

  • Warning letter: demand cessation and compensation
  • Complaint to NOIP, Market Management
  • Court lawsuit: demand cessation and damages
  • Administrative: confiscation of infringing goods
  • Criminal: for serious infringement

6.2. Compensation Levels

Court may decide actual damages, infringer's profits, or statutory amount VND 500 million - 1 billion when damages not determinable.

7. IP Assignment and Licensing

Assignment: transfer all ownership rights. Must register with NOIP for effect.

License: allow others to use IP, can be exclusive or non-exclusive, term-limited or perpetual, geographically limited or global, lump sum or royalty by revenue.

8. IP Strategy for Businesses

  • IP Inventory: catalog all IP owned
  • Value-based classification: core IP and supporting IP
  • Registration protection: prioritize core IP
  • Trade secret protection: NDAs, regulations, techniques
  • Market monitoring: detect infringement early
  • Commercial exploitation: licensing, M&A
  • Periodic review: update per business changes

9. Considerations for FDI Enterprises

  • Register Vietnam separately: home country registrations don't automatically extend to Vietnam
  • Priority claim: use within 6 months for trademarks, 12 months for patents
  • Local representation: foreign applicants must use IP agent
  • Enforcement coordination: combine NOIP, Market Management, and courts

Frequently Asked Questions

Register copyright for software?

Copyright automatically arises on creation. However registration with Copyright Office provides clearer evidence in disputes. Cost VND 300k-1m/work.

Trademark takes 24 months — protected during this period?

Yes, protected from filing date (priority date). If others register similar mark after this date, will be rejected.

Competitor uses similar brand name — what to do?

Step 1: send warning letter. Step 2: complain to NOIP or Market Management. Step 3: file lawsuit if needed. Must have trademark certificate for strong legal basis.

Ex-employee takes trade secret to competitor — can sue?

Yes, if clear NDA and non-compete contracts + evidence of actual use of secret. Should hire IP-specialized lawyer.

Patent pending but customers interested — disclose?

Careful. Disclosure before registration complete may invalidate novelty. If must disclose to customer, sign NDA first.
